Good governance starts with us
The IoD is charged with promoting good corporate governance for UK businesses. We strive to model best practice and ensure our own governance complies with the highest professional standards. Here’s an overview of our structure.
Director General
Jonathan Geldart is Director General of the Institute of Directors.
Institute Secretary
Kristina Lewis is Institute Secretary of the IoD. She is responsible for the internal governance of the organisation and acts as governance advisor to the board, council and committees of the IoD.
Management team
The management team reports to the board and is responsible for the ongoing management of the IoD and day-to-day operational matters. It develops and delivers business plans and budgets.
Board
The board is responsible for leading the IoD, setting its values, standards, aims and objectives and delivering them in line with the objects of the Royal Charter. The board is composed of the chair, a majority of non-executive directors and the director general and executive directors.
Council
The council acts in an oversight and advisory capacity as guardian of the institute, representing the interests of its members and holding its board to account for the delivery of the objects of the institute contained in its Royal Charter.

Nomination committee
The nomination committee is a joint committee of the board and council. It comprises board and council members and is responsible for approving the principles and processes for appointment of all IoD officers and evaluation of the IoD’s governance functions.

Committees of the board
Audit and risk committee
The function of the audit and risk committee is to monitor and review the integrity of the IoD’s financial statements and challenge the governance, risk management and internal controls system.

Remuneration committee
This committee is responsible for developing and maintaining formal and transparent policies for remuneration. It advises on the compensation and terms of employment for senior members of staff and executive directors.

Accreditation and Standards committee
This committee is responsible for approving the standards and competencies required of directors and boards and the methods used to assess them. It is also responsible for independent assurance of the Chartered Director programme.

Assessment committee
The assessment committee is a sub-committee of the accreditation and standards committee and is ultimately responsible for the quality assurance of the Chartered Director examination and assessment processes.

Good Business Charter
The IoD is a member of the Good Business Charter. The charter sets out minimum standards in 10 areas of business behaviour: real living wage, fairer hours and contracts, employee wellbeing, employee representation, diversity and inclusion, environmental responsibility, paying fair tax, commitment to customers, ethical sourcing, and prompt payment to suppliers.
