IoD Commission: Non-Executive Directors in the UK
Unlocking the potential in non-executive directors
The IoD has established a Commission to explore the evolving role of non-executive directors (NEDs) in the UK. With the board landscape having transformed significantly since the Higgs Review over 20 years ago, the Commission aims to address the unique challenges faced by part-time directors and help them unlock their full potential.
Despite the prevalence of NEDs in both large listed companies and the not-for-profit sector, recent corporate scandals and collapses have raised concerns about their effectiveness. This Commission will investigate whether NEDs are truly delivering the anticipated benefits and how they can better contribute to value creation.

Evaluate
Evaluate if non-executive directors are adding value to boards of directors and corporate governance more generally.
Identify
Identify the main challenges and obstacles that face NEDs, and consider how (and if) they can be overcome.
Recommend
Make recommendations to boards and policy makers concerning the more effective deployment of NEDs.
