A shadow board is a committee of non-executive employees that considers the same strategic and major operational issues which concern the board of directors. The members of a shadow board are selected on merit and are often younger than the members of the official board of directors. The combination of talent and a different generational outlook is intended to provide the board of directors with an alternative perspective on challenges and help identify new commercial opportunities. In return, members of a shadow board gain valuable experience in problem solving and decision making.
