Unlisted companies make a major contribution to economic growth and employment in the UK. However, the corporate governance needs of such companies have hitherto been relatively neglected by governance experts and policy-makers alike. 

The guidance in this publication provides a major step forward in helping unlisted companies address the issues involved in designing an appropriate corporate governance framework. The principles of good governance set out in the guidance are practical and pragmatic. The manner in which they should be applied will depend on the circumstances of each company and the judgement of individual boards. We recommend the Guidance and Principles to all unlisted companies and their stakeholders.
