Chartered Director Code of Professional Conduct

       

This Code has been written in order to help directors meet high standards of professionalism and ethics. The Code provides guidance to directors and lays down the standards that the Institute expects of Chartered Directors.

       

The purpose of the Code

       

One of the IoD's fundamental aims is to increase the professionalism of its members. To further this aim, it requires all Chartered Directors to adhere to the Code of Professional Conduct, as a way of providing tangible evidence of their commitment to professionalism and probity. Chartered Directors who breach the Code may be subject to disciplinary action by the Institute.

Chartered Directors represent a wide range of sectors and organisations. This reflects the desire of public, charitable, private and other organisations to adopt good governance and practice. The term "company", which is used throughout the Code, is not meant to exclude public-sector bodies, charities and NPOs.

       

Four key tasks of the board

       

The Four Key Tasks of the Board are central to the Professional Review Interview for Chartered Director, and underpin the Company Direction Programme curriculum. Moreover, they provide guidance for directors in providing a checklist against the key aspects of organisational governance and activity which all boards should actively review on a regular basis.

Changes to Chartered Director Regulations

       

In the last year, there have been two important changes to Chartered Director regulations. These are:

1. Affiliate Institutes of IoD. There are several Affiliate institutes globally that operate mainly (but not exclusively) in commonwealth countries. In 2007, the Privy Council approved the measure that members of these affiliate bodies could be allowed to pursue Chartered Director, subject to meeting IoD Membership and Chartered Director criteria, passing the Certificate and Diploma examinations in Company Direction and also the Professional Review Interview. The UK's Chartered Director qualification is the only one in the world that is approved by the Privy Council and the IoD does not accept or accredit any other qualification in lieu.

2. In order to afford greater recognition and prestige to the Chartered Director qualification, the Privy Council has also allowed the IoD to nominate a minimal number of Honorary Awards – following the time honoured tradition followed by universities and other professional bodies.

There is a very stringent vetting process, that includes the Professional Accreditation Committee and the IoD Board. Only individuals who have made an outstanding contribution to Corporate Governance, business or public service, and who support the aims of Chartered Director will be so nominated and considered.
